ENGLISH AUTO SOCIETY CLUB CONSTITUTION 
August 23, 2005 ARTICLE I - NAME The
organization name shall be English Auto Society Inc.
ARTICLE II -
PURPOSE English Auto Society, Inc. is a not-for-profit educational and
social club of British car owners, formed for the purpose of gaining
information, exchanging ideas and enjoying British automobiles.
Business meetings shall be held the first Thursday of each month at a
place and time designated by the President, unless otherwise notified
thirty (30) days in advance.
ARTICLE III - ELECTIONS AND
NOMINATIONS 1. Nominations for officers shall take place at the monthly
business meeting in November. 2. Officers shall be elected at the
monthly business meeting held in December. 3. If any officer leaves a
replacement shall be appointed by the President to serve for the rest
of the year.
ARTICLE IV - TERM OF OFFICE All officers shall serve
a one (1) year term.
ARTICLE V- OFFICERS AND THEIR DUTIES The
English Auto Society Inc. Executive Committee is comprised of the four
officers listed below with their duties: 1. President: Presides over
monthly meetings, interprets the Club Constitution and represents the
Club. Maintains good communication among members and sees that all other
officers and Club Appointees discharge their duties satisfactorily.
Notifies the Treasurer of all business transactions. Approves all
budgets associated with the operation of the Club. Will be on the
Board of Trustees. 2. Vice President: Assumes the duties of the
President in his or her absence. Advises all committees. Assumes the
duties as President following the current term as Vice President. Enlists
collector car owners for Club membership and works closely with
the President in keeping Club interest and enthusiasm at a high level.
Initiates all paperwork for new membership and eligibility. Sees that
members' dues are paid and turned over to the Treasurer with membership
forms. Gives new members a copy of the Constitution and all official
items. Oversees printing and distribution of an annual membership
directory each January. Chairs the annual Nominating Committee to
insure that we have qualified candidates for Executive and appointed
positions. 3. Secretary: Will record and maintain a permanent record of
all minutes from each monthly meeting. Will process all correspondence
between English Auto Society Inc. and any other organization, clubs or
persons. Will keep file copies of all correspondence. Will prepare and
print a membership application prior to the New Year. Will record and
maintain a record of Club bylaws as voted on by the membership, and a
file of club operating procedures. Will record and publish the results
of all votes taken at club meetings. 4. Treasurer: Will take
responsibility for the collection and disbursement of all the finances
and keep a written record of all such transactions. Will report to the
club at monthly meetings all prior month transactions, balances and
payment of dues. Will utilize current financial software to
insure accounting procedure continuity (unless software becomes
obsolete). Will be responsible for the publication of an annual balance
sheet of revenues and expenditures to be reviewed by the Executive
Committee and be made available at the end of each fiscal year. Will
notify the President of all business transactions. Club Appointments
by Informal Membership Vote Paraphernalia Queen: Will purchase club
paraphernalia as voted upon by the majority of the club members.
Responsible for the inventory and sell paraphernalia at club functions, as
well as transferring all cash proceeds to the treasurer Car Show
Chairperson: Will organize and coordinate and all committees associated
with it. the annual car show Newsletter Committee: Will consist of
an editor who will oversee editorial matters; an assistant editor who
will handle newsletter layout, ads and mailing; and a secretary to compile
data. Webmaster: Will maintain publishing rights and procedures for the
club's Website. Nominating Committee: Will be chaired by the vice
president and secure qualified candidates by the December meeting for
all elected offices and appointed positions.
ARTICLE VI - VOTING
REQUIREMENTS 1. A majority vote of the eligible membership present
shall be required to elect any office. 2. Voting eligibility is
determined by the name(s) of an individual on the club membership
form.
ARTICLE VII - MEMBERSHIP 1. Ownership of a collector car is
not required as long as the applicant has a serious interest
in collector cars. 2. Members are eligible to hold office, can vote,
receive a monthly newsletter and may display the club emblem. 3. Any
member who brings discredit to the club or causes a disturbance at a club
function will be subject to removal and loss of membership dues at the
recommendation of the Board of Trustees. 4. Any member who commits
to, and fails to attend any function where a cost is incurred by
the club will be responsible for his or her portion of any financial
commitment for that event. 5. Members are eligible to vote at the next
monthly meeting following the receipt of dues.
ARTICLE VIII -
DUES Dues fees shall be approved by a majority vote. Dues fees shall be
reviewed annually at the October business meeting. All dues are payable
by January 1. Anyone joining after June 1 shall pay one-half (1/2) the
yearly rate.
ARTICLE IX - CLUB FUNDS Funds for any event or other
activity shall be approved by the president or vice president.
No member may obligate the club without prior approval as herein set
forth.
ARTICLE X - BOARD OF TRUSTEES The board of trustees will be
responsible for the preservation of standard operating
procedures through an accountability process. The board will consist of
the immediate past president (Chairperson), the current President, the
current vice-president and past presidents who are members. The
committee will meet in January as designated by the chairperson. The
Board of Trustees will be responsible for recommending the removal of any
club officer and any action to be presented before the general
membership. Removal of an officer requires a vote of two-thirds (2/3)
of the membership present at the monthly meeting; an appointee may
be removed at the monthly meeting by the membership vote.
ARTICLE XI
- AMENDMENTS TO BYLAWS In order for an amendment to be valid and
effective, proper notice is required. Written notice must be made at
least sixty (60) days prior to a general meeting. Any member may submit
proposed amendments to these Bylaws. An amendment may be presented at
any meeting using the current club operating procedures and voted upon
at the following meeting. A vote of at least twothirds (2/3) of the
membership shall be required to pass an amendment. Any amendment to this
Constitution shall be attached hereto and made a part hereof for all
purposes. An amendment to these Bylaws shall be effective immediately upon
adoption, unless the president specifically determines another
effective date.
ARTICLE XIII - MISCELLANEOUS 1. The English Auto
Society Inc. Constitution will be reviewed every year by a
Committee appointed by the President. Changes to the Constitution are
reviewed by the membership at the April meeting and voted upon at the
May meeting. 2. Any member who has not yet renewed his or her
membership by March 1 shall receive a courtesy notice prior to the
removal of his or her name from the club roster.
